LWD is governed by the Board of Directors. The Board is made up of at least five but not more than nine members. Any decision can be made by consensus of at least three fourths of the board members present in the board meeting with quorum. Decisions of the Board of Directors will be taken by vote.
The Board will meet at least three times per year at appropriate intervals. In case of urgency, the chairperson has the authority to call a meeting. At least two thirds of the Board members must be represented by presence or proxy for a quorum.
The Board plays a key role in reviewing and providing strategic advice on programming, organizational and financial matters, including adapting the LWD program and organization to resource availability and opportunities, identifying potential risks and supporting LWD to address them and contributing to the programs relevance, efficiency, effectiveness and the qualitative running and development of the organization and its programs.
